Terms of Service

1. Acceptance of Terms

By registering for and/or using the Services in any manner, you agree to these Terms and all other operating rules, policies, and procedures that may be published by GreyOS from time to time. These Terms apply to all users of the Services, including users who contribute content to the Services.

2. Modifications to Terms

GreyOS reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

3. Eligibility

The Services are intended solely for users who are 13 years of age or older, and any registration by, use of, or access to the Services by anyone under 13 is unauthorized and in violation of these Terms. If you are under 18 years of age, you represent and agree that you possess the legal consent of your parent or guardian to access and use the Services.

By using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements and that you will not use the Services in a way that violates any laws or regulations.

4. Account Registration and Security

To use certain features of the Services, you may be required to register for an account and provide certain information about yourself. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify GreyOS immediately of any unauthorized use of your account or any other breach of security. GreyOS will not be liable for any loss or damage arising from your failure to comply with this section.

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by GreyOS, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, GreyOS grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes.

6. User Content

You retain ownership of any content that you post, upload, submit, or otherwise make available via the Services ("User Content"). By making any User Content available through the Services, you grant to GreyOS a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

• You own or have the necessary rights and permissions to use and authorize GreyOS to use all intellectual property rights in and to any User Content;
• Your User Content does not violate these Terms or any applicable law; and
• The posting and use of your User Content on or through the Services will not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person or entity.

7. Prohibited Conduct

You agree not to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law;
• Violate or encourage others to violate the rights of third parties, including intellectual property rights;
• Post, upload, or distribute any User Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable;
• Interfere with security-related features of the Services;
• Interfere with the operation of the Services or any user's enjoyment of the Services;
• Use any robot, spider, crawler, scraper, or other automated means to access the Services or to extract data;
• Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services;
• Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services;
• Use the Services for any commercial solicitation purposes without our express consent;
• Impersonate or misrepresent your affiliation with any person or entity;
• Violate any applicable law or regulation; or
• Encourage or enable any other individual to do any of the foregoing.

8. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

GREYOS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREYOS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless GreyOS, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
• Any claim that your User Content caused damage to a third party.
